Isn't possible convert a PSDL terrain directly in 3DS format. However, with MM2 City Toolkit program is possible export it in .ase file format. I know that this file format is supported by the 3D graphic program 3ds Max, so just import it with this program and then export it to the common .3ds file format.
However, remind that the got 3D model absolutely isn't like the one required by MM2 City Toolkit for the cities generating, so isn't without the objects for the sidewalks, etc. Simply it has a simple look.

Yeah, it won't work with 3DS Max. At least, not for me (either it wouldn't import the ase file, even though it supported ase, or the exported 3DS was empty/corrupt). So what I did when I wanted to remake some of my tracks was:
I had MM2City Toolkit export the psdl to an ase file. Then I used Blender to import the ase file. From here, from my experience, you cannot export to a 3DS file. I tried that along with one or two other file formats supported by Zmodeler. The only one that worked was the lightwave format.
When I imported it into Zmodeler the track wasn't quite right. I think it was inside-out and backwards. It can very easily be fixed though--just use the appropriate tools, such as mirror, reorientate, etc.
Oh, and when I last used Blender it was not capable of importing ase files. I had to do a quick Google search to find a plugin that added support for ase.

Never tried this thing because I haven't 3ds Max, and for me isn't neither so interesting since the got model isn't like MM2 City Toolkit requests to be made from where create the PSDL terrain, as already said.
Thanks for the info HummersRock, yeah, sometimes is needed a plug-in to give the support for a 3D file format with these programs.

This is a odd situation , I have got blender and the ASE scripts , does nothing atall =/
got one for 3DSmax and the loading bar showed all object names being found and when it finnished loading it all in ... nothing
Maybe mm2ctk is exporting it differently? no idea
but the one for 3dsmax required me to name it ASC
Anyone got more ideas?
