how to play mm2 online in modem?

First, make sure that you firewall allows "Midtown Madness 2 Executable" and "Microsoft Direct Play Helper". Sometimes on first attempt of playing together, your firewall will pop up asking to allow. Both computers must be connected on the same wifi router, and make sure you are both in the same Workgroup. You can check this by looking at your system properties. If you are going by cable, I believe it is the same, except you might have to link IP addresses. I can't remember. Going by wireless router is easier. After reaching the multiplayer menu, select TCP/IP. One person hosts the game. After that person has hosted, the other joins. I usually leave the IP address blank and let the game find the hosted user. Post if you have any issues. It's been a while, so correct me if I am wrong. :D

By with modem, I am assuming you mean by LAN. That is what I described above. If you want to play online, use Gameranger.

Seeing that the thingy you plug your phone line into to get internet is also technically a modem (with or without built-in WiFi, depending on how old it is)... I guess everybody. :P

Hm... (launches MM2) for me too... but aren't these guys using TCP/IP?

Every once in a while I get a good old MM2 LAN party going. :D Brings back the memories. Yeah whoami, we use TCP/IP.
