Since Windows 7 works fine with Midtown Madness 2, Check that the proper graphics adapter is selected in the graphics settings.

Hey! I have the exact same graphics GPU: 740. It runs fine with max settings on my Win 7 Ultimate PC (64-bit). I have the I7 4700QM Quad Core with 16 GB of ram. It could be your processor I suppose. However, check to make sure in your NVIDIA control panel that MM2 is set to use the NVIDIA graphics processor (Just like Aaro4130 said). Mine was defaulted to the Intel HD graphics, and it would lag in max settings when I first started playing. Beware, the menu does flash a lot with the 740 graphics
