First, make sure that you firewall allows "Midtown Madness 2 Executable" and "Microsoft Direct Play Helper". Sometimes on first attempt of playing together, your firewall will pop up asking to allow. Both computers must be connected on the same wifi router, and make sure you are both in the same Workgroup. You can check this by looking at your system properties. If you are going by cable, I believe it is the same, except you might have to link IP addresses. I can't remember. Going by wireless router is easier. After reaching the multiplayer menu, select TCP/IP. One person hosts the game. After that person has hosted, the other joins. I usually leave the IP address blank and let the game find the hosted user. Post if you have any issues. It's been a while, so correct me if I am wrong.
By with modem, I am assuming you mean by LAN. That is what I described above. If you want to play online, use Gameranger.
